Welcome to NeuverraX. These Terms of Service ("Terms") govern your access to and use of our website, products, and services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using NeuverraX's website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.

2. Description of Services

NeuverraX provides AI-powered solutions including:

  • Abacus Sensei: An adaptive learning platform for abacus education (currently in development)
  • Research Copilot: An AI-powered research acceleration platform (currently in development)
  • Consulting Services: AI consulting and custom development services
  • Website and Information: Educational content and company information

Services marked as "in development" are not yet available for general use. We reserve the right to modify, suspend, or discontinue any service at any time without notice.

3. User Accounts and Registration

When our products become available, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account
  • Not share your account with others

For our educational products (Abacus Sensei):

  • Student data is used solely for educational purposes
  • We implement appropriate security measures to protect student information
  • Parents and educators can request access to or deletion of student data
  • We do not sell student data to third parties
  • We do not use student data for advertising purposes

7. Payment Terms

When products become available for purchase:

  • Prices are displayed in the applicable currency and may be subject to change
  • Payment is due at the time of purchase unless otherwise agreed
  • We accept payment methods as indicated during checkout
  • All fees are non-refundable except as required by law or specified in our refund policy
  • You are responsible for any applicable taxes

8. Refund Policy

Our refund policy will be clearly communicated when products launch. Generally:

  • Consulting services: Refunds based on project milestones and agreements
  • Software subscriptions: Refunds may be available within a specified trial period

We do not guarantee specific results from using our educational products. Learning outcomes depend on many factors beyond our control.

Limitation of Liability

To the fullest extent permitted by law, NeuverraX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use our services
  • Any unauthorized access to or use of our servers
  • Any interruption or cessation of transmission to or from our services
  • Any bugs, viruses, or harmful code transmitted through our services
  • Any errors or omissions in content

Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless NeuverraX and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Content you submit to our services

13. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

  • Your right to use our services ceases immediately
  • We may delete your account and data
  • Provisions that should survive termination will remain in effect

Your continued use of our services after changes constitutes acceptance of the new Terms.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NeuverraX.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet disruptions.
